    Forward-Looking Statements

    As of 15 June 2026

Materials published by TIAKI AB ("TIAKI") and the contents of the TIAKI Platform contain "forward-looking statements" within the meaning of applicable EU and UK capital-markets law, including the EU Prospectus Regulation (Regulation (EU) 2017/1129) and the UK Financial Services and Markets Act 2000 (ss. 90 and 90A).

    1. What Constitutes a Forward-Looking Statement

Forward-looking statements include any statement that is not a statement of historical fact. They may be identified by words such as "will", "expects", "intends", "projects", "estimates", "targets", "architected to", "designed to", "compresses", "delivers", "saves", and similar expressions. Examples on the Platform include:

    • Projected addressable-market and revenue figures.
    • Architected WACC / cost-of-capital compression bands (including any references to 200 bps and similar values).
    • In-year savings, audit-cycle compression, and settlement-latency targets.
    • RTO timing, listing venue, sponsor and underwriter intentions.
    • Architectural compliance and alignment with GDPR, DORA, the EU AI Act, the EU Digital Services Act, SOC 2, ISO 27001:2022, and Cyber Essentials Plus.

    2. Basis & Assumptions

Quantified figures reflect TIAKI's internal methodology, reference-case assumptions, and synthetic or partially redacted reference data. They are presented for illustrative decomposition of value-driver theses, not as forecasts of any specific counterparty, vertical, or fiscal period. Counterparty-specific outcomes are subject to formal due diligence, calibration, and contracting.

    3. Risks That Could Cause Actual Results to Differ

    • Regulatory developments under the EU AI Act, DORA, MiCA, CSDDD, CSRD, CBAM, the DSA, and equivalent UK frameworks.
    • Sovereign, counterparty, sanctions, supply-chain, and geopolitical risk.
    • Technology, model-drift, cryptographic and cybersecurity risks.
    • Capital-markets conditions, listing venue availability, sponsor and underwriter decisions, and the success of any RTO transaction.
    • Resourcing, talent, and execution risk inherent in scaling deep-tech infrastructure.

    4. Architectural Alignment ≠ Certification

References to GDPR, DORA, the EU AI Act, the DSA, SOC 2, ISO 27001:2022, and Cyber Essentials Plus describe TIAKI's architectural alignment and design intent. They are not representations of certified compliance. Formal certifications will be obtained at pilot scale within the sequence disclosed to qualified institutional counterparties under NDA.

    5. No Update Obligation

Except where required by law or a listing rule, TIAKI undertakes no obligation to revise or update any forward-looking statement to reflect events or circumstances occurring after the date of publication.

    6. Not an Offer

This notice and the Platform do not constitute an offer to sell or a solicitation of an offer to buy any security in any jurisdiction. Any future securities offering by TIAKI or an associated vehicle will be made only by means of a duly approved prospectus or equivalent admission document.
